Terms of Service

1. Acceptance of Terms

By accessing or using the IronIntel website, platform, software, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you and IronIntel ("Company," "we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the Service after modifications constitutes acceptance of the updated Terms.

2. Description of Service

IronIntel provides software tools for processing construction PDF documents, extracting data, computing rebar quantities, and generating placing drawings. The Service is intended for use by construction professionals and is designed to assist with, but not replace, professional engineering judgment. The Service processes user-uploaded documents and provides computed outputs based on extracted data and programmatic rules.

3. User Accounts

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Immediately notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any reason at our sole discretion.

4. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any laws
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Scrape, crawl, or use automated means to access the Service without permission
• Resell, sublicense, or redistribute the Service without authorization
• Upload content that infringes intellectual property rights of others
• Impersonate any person or entity or misrepresent your affiliation
• Use the Service to compete with IronIntel or develop competing products

5. User Content and Data

You retain ownership of all documents, data, and content you upload to the Service ("User Content"). By uploading User Content, you grant IronIntel a non-exclusive, worldwide, royalty-free license to:

• Process, store, and display User Content as necessary to provide the Service
• Create derivative works (extracted data, computations, outputs) from User Content
• Use anonymized and aggregated data to improve the Service and train algorithms

You represent and warrant that you have all rights necessary to upload User Content and grant these licenses, and that User Content does not violate any third-party rights or applicable laws.

6. Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, logos, and other content (excluding User Content), is owned by IronIntel and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. This license does not include the right to modify, copy, distribute, sell, or create derivative works from the Service. All rights not expressly granted are reserved by IronIntel.

7. Payment and Billing

Certain features of the Service may require payment. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable except as required by law or as explicitly stated. We reserve the right to change pricing with 30 days notice. Failure to pay may result in suspension or termination of access to paid features.

10. Indemnification

You agree to indemnify, defend, and hold harmless IronIntel and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of another party; (e) your use of Service outputs in construction projects; or (f) any claim that your use of the Service caused damage to a third party.

11. Professional Responsibility

You acknowledge and agree that:

• The Service is a tool to assist, not replace, qualified engineering professionals
• All outputs must be reviewed and verified by licensed professional engineers before use
• You are solely responsible for ensuring outputs meet applicable building codes and standards
• IronIntel does not provide engineering services and is not a licensed engineering firm
• Use of the Service does not create an engineer-client relationship
• Final responsibility for construction documents rests with the licensed professionals who seal them

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including but not limited to: intellectual property rights, disclaimers, limitations of liability, and indemnification. You may terminate your account at any time by contacting us. We may retain certain data as required by law or for legitimate business purposes.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada. You waive any objections to jurisdiction or venue in such courts.

14. Dispute Resolution

Before initiating any legal proceeding, you agree to first contact us and attempt to resolve the dispute informally for at least 30 days. If the dispute cannot be resolved informally, either party may proceed with legal action in accordance with Section 13. You agree that any claim must be brought individually and not as part of a class action or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration against IronIntel.

15. Force Majeure

IronIntel shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, power failures, internet disruptions, or pandemics.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent.

17. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and IronIntel regarding the Service. These Terms supersede all prior agreements, understandings, and communications, whether written or oral.

18. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of IronIntel.

19. Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
